` KUALA LUMPUR, 17 Okt (Bernama) -- Pemegang saham BIMB Holdings Bhd hari ini

meluluskan cadangan pengambilalihan 49 peratus kepentingan dalam Bank Islam

Malaysia Bhd dengan harga US$884.6 juta (RM2.89 bilion).

BIMB akan membeli kepentingan Dubai Financial Group LLC sebanyak 30.47

peratus dan ekuiti Lembaga Tabung Haji sebanyak 18.53 peratus dalam bank itu.

Baki 51 peratus dalam Bank Islam sudah pun dimiliki oleh BIMB Holdings.

Pengambilalihan itu akan melibatkan US$550 juta bagi blok saham Dubai

Financial Group dan US$334.603 juta bagi kepentingan yang dipegang oleh Lembaga

Tabung Haji.

"Kami menerima sokongan padu daripada pemegang saham dengan 99 peratus

daripada mereka mengundi bagi cadangan pembelian itu," kata Pengarah Urusan

merangka Ketua Pegawai Eksekutif Kumpulan BIMB, Johan Abdullah.

Bercakap kepada pemberita selepas mesyuarat agung luar biasa BIMB, beliau

berkata BIMB mencadangkan terbitan hak boleh batal dengan waran dan sukuk untuk

membiayai pembelian itu, serta bagi kegunaan sebagai modal kerja.

Terbitan hak itu melibatkan 426.71 juta saham baharu dengan 426.71 juta

waran percuma pada harga terbitan indikatif RM3.80 bagi setiap saham hak untuk

mengumpul RM1.644 bilion.

Ia juga akan menerbitkan sukuk hingga saiz terbitan indikatif RM2.12 bilion

nilai nominal.

Saiz terbitan sukuk yang dicadangkan itu mungkin ditambah kepada hingga

RM2.2 bilion nilai nominal jika harga terbitan muktamad saham-saham hak itu

lebih rendah daripada harga terbitan indikatif RM3.80, katanya.

Johan berkata keseluruhan cadangan itu dijangka selesai menjelang akhir

tahun.

Dengan selesainya cadangan itu, sumbangan perolehan dan keuntungan daripada

Bank Islam akan meningkat kepada 90 peratus daripada 85 peratus sekarang,

katanya.

Ditanya mengenai rancangan penggabungan dan pengambilalihan lain dalam

jangka masa terdekat ini termasuk pembelian saham PT Bank Muamalat di Indonesia,

beliau berkata: "Itu cuma spekulasi."

Sebarang cadangan sedemikian pada masa akan datang mestilah strategik dari

segi perniagaan dan penambahan nilai, kata Johan, sambil menambah bahawa bank

yang ada semua kualiti ini belum dipertimbangkan.
